Abstract

Hukum Kepailitan di Indonesia tidak diatur secara sui generis atau secara khusus dalam UU 37/2004 maupun UU 40/2007. Oleh karena tidak diatur secara khusus mengenai kepailitan suatu perseroan terbatas, maka tugas dan tanggung jawab seorang kurator dalam UU 37/2004 juga mencerminkan hal-hal yang bersifat umum dan berlaku bagi semua subjek hukum dalam kepailitan, dan tidak ada keseragaman serta hanya berfokus pada kegiatan pemberesan dan/atau penjualan aset milik debitor sebagai satu-satunya cara untuk menyelesaikan permasalahan pembayaran utang kepada kreditor. Dalam perkara kepailitan seringkali terjadi situasi dimana harta pailit itu lebih kecil daripada nilai total utang yang ditagihkan, sehingga pembagian dan/atau pembayaran utang-utangnya tidak maksimal. Selain melakukan pengurusan dan pemberesan harta pailit, seorang kurator yang ditunjuk dan diangkat berdasarkan putusan Pengadilan Niaga juga dapat mengusulkan untuk melanjutkan usaha dari debitor pailit tersebut atau yang dikenal dengan istilah going concern. Going concern adalah salah satu wujud dari asas yang terkandung dalam UU 37/2004, yakni asas keberlangsungan usaha. Peneilitan ini menggunakan jenis penelitian normatif empiris yang menggabungkan antara data sekunder dengan data tersier yang bersumber dari pengalaman pribadi dan kasus kasus yang ditangani oleh penulis yang berprofesi sebagai seorang kurator. Hasil penelitian ini adalah menunjukan bahwa meskipun tidak diatur melalui peraturan hukum yang jelas mengenai kepailitan pada perseroan terbatas, namun melalui pendekatan teoritis dan juga asas-asas hukum dalam kepailitan, suatu pengambilalihan dapat dilakukan dengan mekanisme going concern sebelum masa insolvensi. Dan pelaksanaan dari proses pengambilalihan tersebut dilakukan oleh kurator bersama sama dengan organ perseroan terbatas atau dengan kata lain secara kolegial./ Bankruptcy law in Indonesia is not regulated sui generis or specifically in Law 37/2004 or Law 40/2007. Because it is not specifically regulated regarding the bankruptcy of a limited liability company, the duties and responsibilities of a curator in Law 37/2004 also reflect things that are general in nature and apply to all legal subjects in bankruptcy, and there is no uniformity and only focuses on activities. settlement and/or sale of assets belonging to debtors as the only way to resolve the problem of paying debts to creditors. In bankruptcy cases, situations often occur where the bankruptcy assets are smaller than the total value of the debts being collected, so that the distribution and/or payment of the debts is not optimal. Apart from managing and settling bankruptcy assets, a curator appointed and appointed based on a Commercial Court decision can also propose to continue the business of the bankrupt debtor or what is known as going concern. Going concern is a manifestation of the principles contained in Law 37/2004, namely the principle of business continuity. This research uses a type of empirical normative research that combines secondary data with tertiary data sourced from personal experience and cases handled by the author who works as a curator. The results of this research show that although it is not regulated through clear legal regulations regarding bankruptcy in limited liability companies, through a theoretical approach and also legal principles in bankruptcy, a takeover (acquisition) can be carried out using a going concern mechanism before the insolvency period. And the implementation of the takeover (acquisition) process is carried out by the curator together with the limited liability company organs or in other words in a collegial manner.
