Akta Notaris adalah akta otentik yang dibuat oleh atau di hadapan Notaris menurut bentuk dan tata cara yang ditetapkan dalam Undang-Undang. Notaris bertanggung jawab untuk membuat perjanjian kredit beserta perjanjian-perjanjian accessoir lainnya. Perkembangan saham scripless jelas akan berdampak besar pada pelaksanaan akta gadai saham di hadapan notaris. Gadai dianggap telah terjadi pada saat terjadinya penyerahan kekuasaan atas barang yang dijadikan objek gadai, kepada pihak yang menerima gadai oleh pihak yang memberikan gadai. Sebelumnya, dalam transaksi gadai saham biasa, penyerahan fisik sertifikat ditunjukkan kepada Notaris dan berdasarkan unsur-unsur gadai, maka hal tersebut telah memenuhi unsur penyerahan barang yang dijaminkan. Sertifikat fisik dapat dengan mudah dicatat dalam daftar pemegang saham perusahaan, yang semuanya memenuhi unsur-unsur gadai. Sementara itu, Kustodian Sentral Efek Indonesia (“KSEI”) bertanggung jawab atas proses transaksi gadai saham scripless pada Perusahaan Terbuka (“PT Tbk”) dengan menerbitkan konfirmasi transaksi kepada kreditur dan debitur melalui pemindahbukuan di rekening dan PT Tbk wajib menyampaikan laporan kepemilikan atau perubahan kepemilikan saham. Peraturan Otoritas Jasa Keuangan No. 4 Tahun 2024 tentang Laporan Kepemilikan atau Setiap Perubahan Kepemilikan Saham Perusahaan Terbuka dan Kegiatan Penjaminan Saham Perusahaan Terbuka (“POJK 4/2024”) bertujuan untuk meningkatkan kualitas keterbukaan informasi oleh pemegang saham tertentu dan pengawasan yang dilakukan terhadap laporan kepemilikan saham, menyesuaikan ketentuan dengan standar internasional dan praktik-praktik terbaik yang berlaku di negara lain, serta memperluas cakupan pengaturan dengan memasukkan jenis transaksi lain yang dilakukan oleh pemegang saham PT Tbk seperti kegiatan penjaminan saham. Penelitian ini bertujuan untuk mengetahui (1) Bagaimana implikasi pelaksanaan gadai saham scripless terhadap akta Notaris? dan (2) Bagaimana pelaksanaan gadai saham scripless sesuai dengan POJK 4/2024? Penelitian ini disusun dengan menggunakan metode penelitian hukum normatif. Selain itu, penelitian ini juga menggunakan data sekunder berupa peraturan perundang-undangan, buku-buku, jurnal yang diperoleh dari hasil penelitian kepustakaan (library research) untuk memperoleh data kualitatif melalui pendekatan perundang-undangan. / A Notarial Deed is an authentic deed made by or before a Notary according to the form and procedure stipulated in the Law. The Notary is responsible for making credit agreement along with other accessoir agreements. The development of scripless shares will clearly have a major impact on the implementation of notarial share pledge deeds. A pledge is deemed to have occurred at the time of the transfer of power over the goods used as the object of the pledge, to the party receiving the pledge by the party giving the pledge. Previously, in ordinary share pledge transactions, the transfer of the physical certificate was shown to the Notary and based on the elements of the pledge, it was said to have fulfilled the element of delivery of the pledged goods. The physical certificate could easily be recorded in the company's register of shareholders, all of which fulfilled the elements of pledge. Meanwhile, KSEI (“Indonesian Central Securities Depository”) is responsible for the process of scripless share pledge transactions in PT Tbk by issuing confirmation of transactions to creditors and debtors by book-entry settlement in accounts and PT Tbk must submit with ownership reports or any changes in share ownership. Financial Services Authority Regulation No. 4 of 2024 regarding the Report of Ownership or Any Change in Share Ownership of Public Companies and the Activities of Pledging Shares of Public Companies (“POJK 4/2024”) aims to improve the quality of information disclosure by certain shareholders and the supervision conducted on the share ownership report, adjust the provisions to international standards and best practices applied in other countries, and expand the scope of regulation to include other types of transactions carried out by shareholders of Public Companies such as share pledging activities. This research aims to find out (1) What is the implication of implementation of scripless share pledge towards a Notarial deed? and (2) what is the implementation of scripless shares in accordance with POJK 4/2024? This research was prepared using normative legal research. Furthermore, it utilises secondary data such as laws and regulations, books, journals obtained from the application of library research to obtain qualitative data through a statutory approach.
