Abstract
Penelitian ini bertujuan untuk mengkaji perlindungan hukum bagi Direksi Badan Usaha Milik Negara (BUMN) yang melaksanakan kegiatan usaha dengan mengedepankan prinsip business judgment rule (BJR) dari ancaman tindak pidana korupsi. Fokus penelitian ini adalah pada kasus Terdakwa Karen Agustiawan sebagai Direktur Utama PT Pertamina (Persero), yang diadili dalam tindak pidana korupsi terkait akuisisi Blok BMG di Australia. Putusan kasasi Mahkamah Agung Nomor 121 K/Pid.Sus/2020 menjadi acuan penting, di mana hakim menyatakan tindakan terdakwa tidak dapat diklasifikasikan sebagai tindak pidana dengan mempertimbangkan prinsip BJR dan batasan keuangan negara pada entitas anak perusahaan BUMN berdasarkan Putusan MK Nomor 01/PHPU-Pres/XVII/2019.Penelitian ini menggunakan metode normatif dengan pendekatan perundang-undangan, kasus, dan konseptual. Data yang digunakan berupa bahan hukum primer dan sekunder yang dianalisis secara kualitatif. Hasil penelitian menunjukkan bahwa penerapan prinsip BJR dapat memberikan perlindungan hukum bagi Direksi BUMN selama keputusan yang diambil memenuhi persyaratan tertentu, seperti dilakukan dengan itikad baik, berdasarkan informasi yang memadai, dan dalam lingkup kewenangan. Namun, terdapat tantangan dalam mengidentifikasi batas keuangan negara dan tanggung jawab Direksi pada entitas anak perusahaan. Sebagai kesimpulan, perlindungan hukum terhadap Direksi BUMN dapat diperkuat melalui harmonisasi regulasi mengenai penerapan BJR dan definisi keuangan negara pada entitas anak perusahaan, sebagaimana dipertimbangkan dalam putusan Mahkamah Agung. / This research aims to analyze the legal protection afforded to the Boards of Directors of State-Owned Enterprises (SOEs) in conducting business activities under the principles of the business judgment rule (BJR) against allegations of corruption. The study focuses on the case of Karen Agustiawan, the former President Director of PT Pertamina (Persero), who was prosecuted for alleged corruption related to the acquisition of the BMG Block in Australia. The Supreme Court's cassation decision No. 121 K/Pid.Sus/2020 serves as a pivotal reference, wherein the court held that the defendant's actions could not be classified as criminal offenses, taking into account the application of the BJR and the limitations of state finances concerning SOE subsidiaries, as outlined in Constitutional Court Decision No. 01/PHPU-Pres/XVII/2019. The study employs a normative legal research methodology utilizing statutory, case-based, and conceptual approaches. The data comprises primary and secondary legal materials analyzed qualitatively. The findings demonstrate that the application of the BJR provides legal protection to SOE directors, provided their decisions are made in good faith, based on adequate information, and within the scope of their authority. However, challenges persist in delineating the boundaries of state finances and the accountability of directors in the context of SOE subsidiaries. In conclusion, the legal protection for SOE directors can be strengthened through regulatory harmonization concerning the application of the BJR and the definition of state finances within SOE subsidiaries, as reflected in the Supreme Court's considerations
