Abstract

Kinerja perusahaan sudah menjadi hal yang umum pada masa sekarang, baik dalam dunia bisnis maupun penelitian. Sebenarnya masih belum terdapat definisi yang dapat menjelaskan kinerja perusahaan secara umum, walaupun sudah lama dikenal. Dengan pengukuran kinerja perusahaan, investor dan perusahaan tersebut dapat melihat kondisi keuangannya dan mengambil keputusan yang sesuai. Perusahaan mempunyai dewan direksi yang bertugas dan bertanggung jawab untuk menentukan tujuan strategis, menegaskan kepeminpinan perusahaan, serta mengawasi kegiatannya. Dalam menjalankan tugasnya, dewan direksi menggunakan tata kelola perusahaan sebagai pedoman. Tata kelola perusahaan merupakan tata cara, kebijakan, kebiasaan, ataupun system aturan bagaimana sebuah perusahaan dikelola. Dengan penerapan tata kelola perusahaan yang baik, perusahaan dapat menyeimbangkan kepentingan stakeholdernya, juga membantu pencapaian tujuan perusahaan. Tata kelola perusahaan mencakup hampir seluruh bidang manajemen, mulai dari perencanaan, pengendalian internal, sampai dengan pengukuran kinerja beserta pengungkapan perusahaan. Tujuan penelitian adalah untuk melihat bagaimana beberapa mekanisme tata kelola perusahaan berpengaruh terhadap kinerja perusahaan pada perusahaan publik Indonesia, sambil memperhatikan keselarasannya dengan beberapa teori agency, stewardship, dan resource dependence theory. Penelitian menggunakan teknik purposive sampling dan berhasil mengumpulkan sebanyak 303 sampel yang diabil dari perusahaan yang terdaftar diBursa Efek Indonesia. Tahun yang diteliti adalah tahun terdekat, yaitu 2020. Program STATA digunakan dalam pengujian penelitian karena dianggap sesuai dengan teknik penelitian. Hasil dari penelitian menemukan bahwa board size dan board independence berpengaruh tidak signifikan secara positif terhadap kinerja perusahaan, sedangkan board meetings frequency berpengaruh signifikan secara positifterhadap kinerja perusahaan. Sebagai tambahan, penelitian menemukan bahwa resource dependence theory didukung oleh board size dan board independence, agency theory didukung oleh board independence, dan stewardship theory didukung oleh board size. / Firm performance is already a common topic nowadays, whether it’s from a business or research perspective. Up until now, there is still no general definition of firm performance that is accepted widely, considering firm performance is already known and researched for a long time. By calculating a firm’s performance, investors and the company itself is able to analyze a company’s financial condition and make decision that goes with it. A company has its own board of directors to run and take charge of its operations. The board of directors uses corporate governance as guidelines while doing their job. Corporate governance is a set of rules, practices, and processes by which a firm is directed. By implementing good corporate governance, a firm is able to balance its stakeholders’ interests while helping the company achieve its goals. Corporate governance covers almost every aspect of management that includes planning, internal control, up to firm performance and disclosure. The purpose of this research is to analyze how several corporate governance mechanisms affect firm performance on Indonesian public listed companies, while paying attention to its alignment with theories such as agency, stewardship, and resource dependence theory. Research uses purposive sampling technique and manages to collect a total of 303 samples which are retrieved from companies that are listed on the Indonesian Composite Index, also known as Bursa Efek Indonesia. The year 2020 is used for the research period. The STATA software is used to test the research, as assumed suits the research technique. The result of this study shows that board size and board independence affect firm performance with an insignificant positive influence, whereas board meetings frequency affects firm performance with a significant positive influence. As an addition, research found that resource dependence theory is supported by board size and board independence, agency theory is supported by board independence, and stewardship theory is supported by board size.
