Corporate guarantee deed is one form of debt guarantee that bondholders require with the aim to minimize the risk whilst securing repayment that is invested by it to the bond issuers. The corporate guarantee deed is contains clauses that aim to protect bondholder’s interests. Guarantors based on the corporate guarantee deed that have guarantee and have bind themselves over debt repayment from bond issuers when bond issuers didn’t fulfill (breach of contract) brings law consequences to the guarantors to be legally fully obliged and responsible to pay all of the bond issuers’ debt whilst involving the entirety of the guarantor’s assets or wealth to pay off all the bond issuers debts. Application of the corporate guarantee deed isn’t without problems. Problems that often arise with it are how and how far the guarantors be held responsible if the bond issuers defaulted its payment obligations and what kind of remedy process can be done by bondholders towards the guarantors if it defaulted its obligations under the corporate guarantee deed. This legal research uses normative legal research with law approach and conceptual approach that is done by looking the application and terms of guarantee under civil code. The conclusion of this research is to ensure the responsibility and the enforceability towards the guarantors if the bond issuers are defaulted in its payment and the execution process that can be done by bondholders if the guarantor dishonors its obligation under the corporate guarantee deed. For the sake of equality and the growth of economy, all law enforcers must always put forward the use of law principles for public interest that can protect economical transactions in deciding their case. / Akta jaminan perusahaan (Corporate Guarantee) merupakan salah satu bentuk jaminan utang yang disyaratkan oleh investor obligasi (Bondholders) dalam upaya untuk meminimalkan resiko serta mengamankan pengembalian dana yang telah diinvestasikan oleh Bondholders kepada penerbit obligasi atas obligasi (Bond) yang diterbitkan menurut keterntuan United State Security Act. Corporate Guarantee tersebut berisikan berbagai macam klausul yang bertujuan untuk melindungi kepentingan Bondholders. Perusahaan penjamin (Guarantor) berdasarkan Corporate Guarantee yang telah menjamin dan mengikatkan diri sebagai penjamin atas pembayaran kembali hutang dari penerbit obligasi manakala penerbit obligasi sendiri tidak memenuhinya (cidera janji) membawa akibat hukum bagi Guarantor untuk berkewajiban penuh dan bertanggungjawab secara hukum untuk melunasi seluruh hutang penerbit obligasi dan mengakibatkan seluruh aset atau harta kekayaan Guarantor menjadi pelunasan hutang penerbit obligasi. Penerapan maupun penegakan Corporate Guarantee tersebut bukanlah tanpa masalah. Masalah yang muncul adalah bagaimana dan sejauh mana tanggungjawab Guarantor jika terjadi wan prestasi oleh penerbit obligasi dan bagaimana proses eksekusi yang dapat dilakukan oleh Bondholders terhadap Guarantor yang gagal memenuhi Corporate Guarantee. Penelitian hukum ini menggunakan penelitian hukum normatif dengan pendekatan Undang-undang dan pendekatan konseptual, yaitu dengan melihat penerapan penanggungan dalam Kitab Undang-Undang Hukum Perdata. Kesimpulan dari penelitian ini yaitu tanggungjawab Guarantor terhadap penerbit obligasi yang wan prestasi dan proses eksekusi yang dapat dilakukan oleh Bondholders terhadap Guarantor yang gagal memenuhi kewajibannya menurut Corporate Guarantee. Demi keadilan dan perkembangan ekonomi, para penegak hukum dalam memutuskan setiap perkara seharusnya selalu mengedepankan penggunaan asas-asas hukum untuk kepentingan umum yang dapat melindungi transaksi ekonomi.
