Abstract

PT Pelabuhan Indonesia "Pelindo" (Persero) was originally divided into Pelindo I, Pelindo II, Pelindo III and Pelindo IV, with each having branches and subsidiaries. Pelindo I, II, III, IV are non-listed state-owned companies whose shares are 100% owned by the Ministry of SOEs. In order to create a strong national port industry, reduce national logistics costs, improve maritime connectivity throughout Indonesia and improve the performance and competitiveness of State-Owned Enterprises in the port sector and global competitiveness, it is necessary to merge the Company (Persero) PT Pelabuhan Indonesia, The merger of PT Pelabuhan Indonesia (Persero) is based on PP Number 101 of 2021, with the merger one of the things that needs to be considered is the company's assets, in this case regarding ships, namely how the ownership of assets that were previously recorded as owned by Pelindo I, III, III, IV, whether it is necessary to change the name of ownership so that all of them are recorded as belonging to PT Pelabuhan Indonesia (Persero). After the merger of the company, it does not rule out the possibility of losing documents due to the merger, therefore research is needed to find out the legal consequences of the merger carried out by PT Pelabuhan Indonesia (Persero) and the legal certainty of the status of ship assets due to the merger of PT Pelabuhan Indonesia (Persero). Based on Article 2 of PP Number 101 of 2021, all rights, obligations, and assets of PT Pelabuhan Indonesia I, III, and IV are legally transferred to PT Pelabuhan Indonesia II. In accordance with this PP, PT Pelabuhan Indonesia II must adjust licences, concessions, and other legal documents within 2 years from the date of merger. PT Pelindo has obtained legal certainty over ship assets in accordance with statutory procedures through court decisions on 258 ship documents. Therefore, the suggestion is that the sub-holding that receives the assets must adjust by changing the name of the assets according to legal provisions, to avoid the risk of loss in the future. / PT Pelabuhan Indonesia “Pelindo” (Persero) awalnya terbagi atas, Pelindo I, Pelindo II, Pelindo III dan Pelindo IV, dengan masing-masing memiliki cabang dan anak usaha. Pelindo I, II, III, IV adalah Perusahaan Badan Usaha Milik Negara (BUMN) Non Listed yang sahamnya 100% dimiliki oleh Kementerian BUMN. Dalam rangka mewujudkan industri kepelabuhanan nasional yang kuat, menurunkan biaya logistik nasional, meningkatkan konektivitas maritim di seluruh Indonesia serta meningkatkan kinerja dan daya saing Badan Usaha Milik Negara di bidang kepelabuhanan dan daya saing global, maka perlu melakukan penggabungan Perusahaan Perseroan (Persero) PT Pelabuhan Indonesia, penggabungan PT Pelabuhan Indonesia (Persero) didasari berdasarkan PP Nomor 101 tahun 2021, dengan adanya merger salah satu hal yang perlu diperhatikan yaitu mengenai aset perusahaan, dalam hal ini mengenai kapal, yaitu bagaimana kepemilikan aset yang dahulu tercatat dimiliki oleh Pelindo I, III, III, IV, apakah perlu untuk melakukan perubahan nama kepemilikan agar seluruhnya tercatat menjadi milik PT Pelabuhan Indonesia (Persero). Pasca terjadi penggabungan (merger) perusahaan, tidak menutup kemungkinan terjadinya kehilangan dokumen akibat terjadi merger, maka dari itu diperlukan penelitian untuk mengetahui akibat hukum merger yang dilakukan oleh PT Pelabuhan Indonesia (Persero) dan Kepastian hukum terhadap status aset kapal akibat merger dari PT Pelabuhan Indonesia (Persero). Berdasarkan Pasal 2 PP Nomor 101 Tahun 2021, seluruh hak, kewajiban, dan kekayaan PT Pelabuhan Indonesia I, III, dan IV beralih secara hukum kepada PT Pelabuhan Indonesia II. Sesuai PP ini, PT Pelabuhan Indonesia II wajib menyesuaikan perizinan, konsesi, dan dokumen hukum lainnya dalam 2 tahun sejak tanggal penggabungan. PT Pelindo telah mendapatkan kepastian hukum atas aset kapal sesuai prosedur perundangan melalui putusan pengadilan atas 258 dokumen kapal. Oleh karena itu sarannya bahwa sub Holding yang menerima aset harus menyesuaikan dengan mengubah nama aset sesuai ketentuan hukum, guna menghindari risiko kehilangan di masa mendatang.
